MUTUAL CONFIDENTIALITY AGREEMENT
THIS CONFIDENTIALITY AGREEMENT is made and effective as of April 11, 2005 by and between QuadTech Inc., a Wisconsin corporation with offices at N64 N23110 Main Street, Sussex, WI 53089 ("QTI") and Shanghai Gaiqiang Electromechanical Equipment Manufacture Co.,Ltd., No.4699,Middle of Jiasong Rd,Shanghai City,China, PRC. 201705 ("Seller").
WITNESSETH:
WHEREAS, QTI is letting out for bid its purchase requirements for certain products, during which process QTI may disclose certain business information, including but not limited to its product needs, supply system and operations, and may request certain information from Seller, including but not limited to financial information, a list of suppliers, and production capabilities to help evaluate the strength of any proposal by the Seller; and
WHEREAS, it is expected that a party may disclose and communicate information ("Disclosing Party") to the other party ("Recipient") which may contain confidential and proprietary features including financial and supply information and each party wishes to define its rights with respect to any such information and protect the confidential and proprietary features contained therein and would not make such disclosures without the other party's agreement to maintain the confidential treatment of such information.
